1. Agreement to terms

By accessing or using the website of Foreman IT Services LLC ("Foreman," "we," "us," or "our") at https://foremanits.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the Site. We reserve the right to modify these Terms at any time by posting the updated version on this page and updating the "Last updated" date. Your continued use of the Site after any change constitutes your acceptance of the revised Terms.

2. Eligibility

By using the Site, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Site on behalf of a business, you represent that you have the authority to bind that business to these Terms.

3. Use of the website

You may use the Site for lawful purposes only. You agree not to:

4. Services and engagements

Descriptions of our services on the Site—including technology consulting, AI implementation, custom software development, compliance, managed IT, web development, app development, and related offerings—are for general informational purposes only and do not constitute a binding offer, proposal, or guarantee of availability, pricing, or results.

Specific client engagements are governed by separate written agreements, such as a master services agreement, statement of work, or service-level agreement, provided when you become a client. In the event of a conflict between these Terms and any signed client agreement, the client agreement will control.

5. Contact form and user submissions

When you submit information through our contact form (including your name, email, company, phone number, and any details about your technology needs), you acknowledge that:

  • The information you provide is accurate and that you have the right to provide it
  • Your submission does not create a client relationship, engagement, or obligation on our part
  • We may use the information to contact you about your inquiry and our services, as described in our Privacy Policy
  • Submissions are not confidential unless we have a separate written confidentiality agreement with you

6. Intellectual property

All content on the Site—including text, graphics, logos, images, design, layout, and code—is the property of Foreman IT Services LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

We provide these links for convenience only and do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party site. Your use of third-party sites is at your own risk and subject to their respective terms and policies.

8. Disclaimer of warranties

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any information on the Site is complete, reliable, or current.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOREMAN IT SERVICES LLC, ITS OWNERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless Foreman IT Services LLC, its owners, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information you submit through the Site.

11. Governing law and jurisdiction

These Terms and any dispute arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of such courts.

12. Dispute resolution

Before filing any formal legal action, you agree to first contact us at hello@foremanits.com and attempt to resolve the dispute informally for at least thirty (30) days. If the dispute cannot be resolved informally, either party may pursue the matter in court as described in Section 11.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by us.

15. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Foreman IT Services LLC regarding your use of the Site. These Terms supersede all prior or contemporaneous communications, proposals, and agreements (whether oral or written) relating to the subject matter of these Terms, except for any separate signed client agreement.
